Lufthansa to Take Majority Control of ITA Airways in €325m Deal

The Lufthansa Group will take majority ownership of ITA Airways after confirming it will exercise its option to increase its stake from 41% to 90% in June 2026.

The Supervisory Board approved the move this week, marking a major step in the Group’s expansion strategy and strengthening its position in southern Europe.

Lufthansa will acquire the additional 49% stake for €325 million, a price previously agreed with Italy’s Ministry of Economy and Finance (MEF). The deal still requires approval from the European Commission and the U.S. Department of Justice, with completion expected in early 2027.

Once approved, ITA will be fully integrated into the Lufthansa Group’s network and systems, becoming its fifth network airline. The MEF will retain a 10% share, which Lufthansa can purchase from 2028.

Fast Integration and Strong Progress

Lufthansa says ITA’s integration has moved faster than expected since the Group acquired its initial 41% stake in January 2025. ITA is already aligned with key customer‑facing systems, including booking platforms, fare structures, Miles & More, Star Alliance membership and lounge access. Lufthansa Cargo has also begun marketing ITA’s freight capacity, equivalent to adding three Boeing 777 freighters to the network.

CEO Carsten Spohr described the acquisition as a “success story” and said the Group chose to exercise its option earlier than required due to ITA’s strong performance and smooth integration.

What It Means for Business Travellers

For corporate travellers, the deal promises more stable long‑term connectivity between Italy, Germany and wider global markets. Once fully integrated, ITA will offer:

  • smoother connections across Lufthansa’s hubs
  • aligned loyalty benefits
  • expanded schedules on key business routes
  • improved long‑haul options from Italy

The move also strengthens Lufthansa’s competitive position against Air France‑KLM and IAG in southern Europe.
